Terms of Service

Plain English: Download and run Celestos on your own machine — free, for any purpose. You cannot resell it as a hosted service. Companies that want to embed or redistribute it need a commercial license. The Orb companion and all AI runs happen on your device; we don't see them.

1. What These Terms Cover

These Terms of Service govern your use of the Celestos software ("Software") and the Celestos website at celestos.online ("Site"). By downloading, installing, or running Celestos you accept these Terms. "We", "us", and "our" means the Celestos team. "You" means the person or organisation using the Software.

2. Software License

Celestos is released under the Elastic License 2.0 (ELv2). Under that license you may:

  • Use the Software on your own machines for any personal, internal, or commercial purpose
  • Copy and distribute the Software to others
  • Modify the Software and build on top of it

You may not:

  • Offer Celestos as a hosted or managed service — where you run Celestos infrastructure and third parties access it remotely
  • Circumvent, disable, or work around any licensing, access, or feature-gating mechanisms in the Software
  • Remove or alter license notices in the source code

If your use case sits outside these terms — embedding Celestos in a product you distribute, deploying it as a managed service, or enterprise volume use — contact us for a commercial license agreement.

3. Your Data Stays on Your Machine

Celestos is local-first by design. When you run it locally:

  • All AI model inference runs on your own hardware. Your prompts, responses, memory, and files are never transmitted to us.
  • The Orb companion, Memory Graph, Hive agents, and all workspace features store data in your local application directory only.
  • We have no access to what you ask, what you generate, or what files you process.

Third-party AI providers: Celestos lets you optionally connect external providers such as OpenAI, Anthropic, or others. If you do, your data goes to those providers under their own terms — we have no control over how they handle it. Running only local models means nothing leaves your device.

No guarantees on third-party storage: When you route requests through cloud providers you have connected yourself, data handling is entirely governed by those providers. Celestos makes no warranty about how third-party services store, process, or retain your data.

4. Commercial Licensing

We offer commercial licenses for organisations that need:

  • Redistribution or bundling of Celestos with another product
  • Managed or hosted deployment for third-party users
  • Enterprise volume deployments with custom support terms

Contact us to discuss commercial terms. Companies generating significant revenue using Celestos as a core part of their product are expected to hold a commercial license.

5. Celestos Cloud

We may offer hosted Celestos Cloud Services under a separate subscription. If you use Cloud Services, additional terms presented at sign-up apply. Subscriptions renew until cancelled; you retain access until the end of the billing period you paid for. We may change or discontinue Cloud Services with reasonable advance notice.

6. Acceptable Use

You agree not to use the Software or Site to violate any applicable law, generate content that is illegal or designed to cause harm, or attempt to extract or reverse-engineer model weights in ways that exceed what applicable law permits.

7. Intellectual Property

The Celestos name, logo, and brand assets are our property. The Software source is made available under ELv2. Third-party components included in the Software carry their own licenses, documented in the repository.

8. No Warranties

The Software is provided "as is" without warranty of any kind. We do not guarantee that it will be error-free or uninterrupted, and we make no warranties about the accuracy or fitness of AI-generated outputs. Use AI outputs in professional, medical, legal, or financial contexts at your own judgement and risk.

9. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use of the Software. Our total liability for any claim shall not exceed the amount you paid us in the twelve months before the claim, or $100, whichever is greater.

10. Changes to These Terms

We may update these Terms. When we do the effective date above changes. For material changes we will give reasonable notice. Continued use after changes take effect means you accept the updated Terms.

11. Governing Law

These Terms are governed by the laws of the jurisdiction where the Celestos team operates. Disputes will first be addressed through good-faith discussion. If unresolved, they shall go to binding arbitration or the courts of competent jurisdiction.
